1. Acceptance of these terms

These Terms & Conditions govern all access to this website and all orders placed with Basic Tides. By browsing the site, creating an order, or completing the compliance attestation at checkout, you accept these terms in full. If you do not accept them, you must not place an order.

We may amend these terms at any time. The version published at the moment your order is submitted is the version that applies to that order.

2. Research use restrictions

All products sold by Basic Tides are intended strictly for in-vitro laboratory and research use only. They are not medicines, supplements, or therapeutic goods and are not intended for human or animal consumption.

Materials supplied by Basic Tides must be handled only within a controlled laboratory setting by persons competent to do so. They must not be administered to, ingested by, injected into, inhaled by, or applied to any human or animal under any circumstances.

Materials must not be repackaged, relabelled, resold, gifted, or otherwise transferred for any use involving humans or animals. Removing or obscuring research-use labelling is a material breach of these terms and terminates any further supply.

Basic Tides products are not drugs, medicines, dietary supplements, foods, cosmetics, therapeutic goods, or medical devices, and have not been evaluated or approved by any regulatory authority for any use in humans or animals.

3. Buyer qualification

By placing an order you represent and warrant that you are at least 21 years of age; that you are a qualified researcher, or are purchasing on behalf of a research institution, university, or commercial laboratory; and that you possess the training, facilities and equipment required to handle research materials safely.

You further warrant that you are legally permitted to purchase, receive, possess and store the ordered materials in your jurisdiction, and that the information you provide at checkout is accurate and complete.

Basic Tides may request evidence of institutional affiliation or professional qualification before releasing an order, and may decline or cancel any order at its sole discretion.

4. Compliance attestation

Every order requires an explicit compliance attestation before it can be submitted. Submitting that attestation is a binding representation. Orders cannot be processed without it, and a false attestation voids all obligations of Basic Tides in relation to that order.

5. No medical, therapeutic or dosing guidance

Nothing on this website constitutes medical, veterinary, clinical, or professional advice. Basic Tides publishes no dosing information, protocols, administration guidance, or outcome claims of any kind, and makes no representation that any material is safe or effective for any purpose in humans or animals.

Any scientific or literature references appearing on this site are provided for laboratory context only and must not be interpreted as a recommendation, instruction, or endorsement of use.

6. Certificates of analysis

Certificates of analysis are issued by independent analytical laboratories and characterise only the specific batch identified on the certificate. They report analytical findings at the date of testing.

A certificate is not a warranty of merchantability, safety, stability over time, or fitness for any particular application, and confers no approval for any use in humans or animals.

7. Orders, pricing and payment

All prices are shown in US dollars and exclude taxes, duties and import charges unless stated otherwise. Prices and availability may change without notice.

An order is an offer to purchase. A contract forms only when Basic Tides confirms dispatch. Where a pricing or listing error is discovered before dispatch, we may cancel the order and refund any amount paid in full.

8. Shipping, title and restricted jurisdictions

Basic Tides does not ship to any jurisdiction in which the sale, import, or possession of the ordered material is restricted or unlawful. Orders that cannot be lawfully fulfilled are cancelled and refunded in full.

The buyer is the importer of record for international shipments and is responsible for all customs duties, taxes, clearance formalities and compliance with local law. Risk and title pass to the buyer on delivery to the carrier.

9. Handling, storage and disposal

On receipt, the buyer assumes full responsibility for safe storage, labelling, handling, recordkeeping and disposal of all materials in accordance with applicable law, institutional policy and good laboratory practice.

The buyer is responsible for conducting its own risk assessment before any use, and for ensuring all personnel with access to the material are appropriately trained.

10. Returns and damaged shipments

Because these are temperature-sensitive research materials, opened, used, or temperature-compromised vials cannot be returned.

Shipments that arrive damaged, incomplete, or incorrect must be reported within 7 days of delivery with photographic evidence. Verified claims are replaced or refunded at our option.

11. Statutory disclaimers and limitation of liability

To the maximum extent permitted by law, all materials are supplied "as is" and Basic Tides disclaims all warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by law, Basic Tides is not liable for any indirect, incidental, special, consequential, or punitive loss, or for any loss of profit, data, or business, arising from the purchase, handling, or use of any material supplied. Our total aggregate liability for any claim is limited to the amount paid for the material giving rise to that claim.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited. Where local law confers rights that cannot be waived, those rights are unaffected.

12. Indemnity

The buyer agrees to indemnify and hold harmless Basic Tides, its officers, employees and suppliers against all claims, damages, penalties, costs and expenses arising from the buyer's breach of these terms, misuse of any material, misrepresentation at checkout, or breach of applicable law.

13. Intellectual property

All content on this website, including text, product data, certificates, imagery and branding, is the property of Basic Tides or its licensors and may not be reproduced for commercial purposes without written permission.

14. Privacy

Information provided at checkout is used to process, ship and document your order and to satisfy our recordkeeping obligations. We do not sell customer data.

15. Severability and governing law

If any provision of these terms is found unenforceable, the remaining provisions continue in full force. Failure to enforce a provision is not a waiver of it.

These terms are governed by the laws of the jurisdiction in which Basic Tides is established, and the courts of that jurisdiction have exclusive jurisdiction over any dispute.
